Terms and Conditions
This agreement for event services (the “Event Services Agreement”) is entered into by and between True Blue Chic LLC, with its principal place of business at 2815 Directors Row Suite 100 Orlando FL 32809 (“True Blue”), and the “Client”. True Blue and Client are collectively referred to in this agreement as the “Parties.”
In consideration of the mutual promises and conditions expressed below, and other good and valuable consideration, the receipt of which is hereby acknowledged, the Parties agree as follows:
Orders
All orders must be placed 30 days in advance. Failure to do so will result in a refund of your payment. If we can accommodate, we will call you within 48 hours to discuss options and delivery.
Delivery
Delivery is made when you have selected and paid the delivery free. All delivery information will be collected once the order is complete.
The client must confirm all details below to ensure delivery terms can be met
Address and room name or number
Point of Contact for signature; name, phone number
Time of delivery; 30 minute window must be given
Signature must be received upon delivery by Point of Contact
Delivery terms are set for one (1) delivery location. If multiple locations are needed, additional fees will be applied. You must coordinate these deliveries by emailing info@bluegrasschic.com
In the event that the specified delivery location and time is rejected or not possible, an additional fee of $200 per hour or new location will be assessed immediately. Items will not be delivered or surrendered without the fee being paid.
To avoid delivery fees, pickup may be scheduled at no additional fee. This must be scheduled and approved no later than seven (7) days prior to pickup date.
No setup or cleanup is included in this contract. Delivery service and dropoff will occur as scheduled.
All vases, containers, floral items, candles, etc. are sold as part of the completed order. The client are welcome to keep, donate or dispose of. True Blue Floral is not responsible for items left behind at venues or location.
Client acknowledges that the floral items included in the Contract are susceptible to change or removal due to various environmental factors, including but not limited to temperature, rainfall, and color of such may vary as a result. Client should take precaution in coordinating the handling, storage and maintenance of the floral items on the Event Date. Upon True Blue’s delivery of the floral items to the Client, or an agent of Client, Client acknowledges that True Blue shall not be responsible for any wilting, browning, bruising or damage to such floral items, nor shall True Blue shall not be responsible for the wilting, browning, or damage to the floral items due to extreme temperatures, weather or heavy handling on the part of third parties.
No additional items will be transported to the delivery location. The delivery person will not be responsible for any items that were left off the order. The delivery person will not be able to make any additional arrangements or personal floral arrangements onsite. Any additional items needed for the order must be made seven (7) days prior to event date.
Returns will not be accepted

Products
All products as depicted on this website are available for local delivery or pickup only.
All products are subject to availability. In the event of any supply difficulties, we reserve the right to substitute with a product of equivalent value and quality without notice. We will maintain the highest standards and closest likeness to the pictures and items requested.
In the event that we are unable to supply all or part of your order, we will notify the client as soon as possible and reimburse your payment for those or all items in full no later than 30 days prior to the event.
Products shown on True Blue Floral website are not available for same day delivery or pickup. All orders placed online must be placed no later than 30 days prior to the event date. If within 30 days of the event, please call 407-900-3515 or info@bluegrasschic.com to check availability. All orders placed online within 30 days of the event will be refunded and The Client will be contacted about this process.
Pricing and Payments
Prices listed on True Blue Floral website are valid on the day the order is placed, but are subject to change during peak periods to accommodate the seasonal availability of flowers and transportation.
If Client fails or refuses to pay the balance of the Fees before the Event, True Blue Floral will not provide the Services to the Client and True Blue Floral shall be released from any and all liability and responsibility regarding the Services to the Client under this Agreement, which refusal to perform the Services shall not constitute a breach of this Agreement by True Blue Floral. Furthermore, payments, and fees paid by the Client are deemed earned upon receipt. Client acknowledges that True Blue Floral invests numerous resources and time at each stage of planning and preparing for each event and that these payments are earned during each stage of the process and therefore non-refundable.
Prices are subject to market fluctuations
Products prices exclude local delivery charge. Delivery charges can be seen at checkout but charged upon approval of time and location.
We reserve the right to change without notice; the price and availability of any product listed on True Blue Floral website.
Orders and Payment
During the ordering process, you will be required to provide your full personal details, credit card and accurate venue and Point of Contact information. In the event True Blue Floral does not receive this information upon initial order, it is The Clients responsibility to provide this information with in 30 days prior to the event.
We accept check and all major credit cards. We do not accept cash under any condition.
By clicking on the “Check out” button at the end of the order process, you are consenting to be bound by our Terms and Conditions.
Submitting your order is subject to our acceptance of this order. We will send an email confirmation of your order details to advise that we are processing your order via the email address you provide. We will not consider ourselves bound by a contract until we have issued this email confirmation.
Change of Event or Venue:
Client shall notify True Blue within 48 hours in writing of any relocation of Venue or rescheduling of Event Date and time.
In the event of a change of Venue location which results in the location of the Venue falling outside of a fifty (50) mile radius of True Blue, True Blue reserves the right to charge an additional fee for travel expenses.
In the event of a change of Venue location which results in the location of the Venue falling outside of a fifty miles (50) mile radius of True Blue, or if the Event Date is rescheduled to a date on which True Blue is not available to provide the Event Services, True Blue reserves the right to terminate this Agreement and retain any, and all, portions of the Fee collected as of the date of termination.
Exemption for Environmental Factors
True Blue has the right to add to, change or discontinue any of its selection of floral arrangements based on what is available on the market, as floral wholesalers often make changes to its products or offer new products, and may discontinue offering certain floral varieties.
True Blue assumes no liability for any delay or cancellation of a wholesaler’s availability of floral products. True Blue shall have the right to discontinue offering any type of floral item for Client’s Event under its full discretion.
Due to the natural fluctuation in the floral market and seasonal factors which may affect Client’s respective floral selections, True Blue reserves the right to make substitutions of any, or all, floral items with those of similar value based on the market price of such floral items at the date of Execution of this Agreement.
True Blue will attempt to maintain the integrity of the proposed color scheme.
Failure to Perform
Client acknowledges that True Blue’s performance under this Agreement is subject to the rules and restrictions of the Venue, and applicable local ordinances, codes and laws.
True Blue’s performance under this Agreement is further subject to the necessary cooperation on the part of the Venue for the delivery.
Force Majeure
True Blue shall be excused from the period of any delay in the performance of any obligations hereunder when prevented from so doing by cause or causes beyond True Blue control which shall include without limitations, hurricanes, floods, fires, labor strikes, wars, material shortages, Government action, “Acts of God”, extreme weather conditions, Insurrections, Acts of terrorism, or unusual transportation delays, despite True Blue’s reasonable efforts to prevent, avoid, delay, or mitigate the effect of such acts, events or occurrences, and which events or the effects thereof are not attributable to a True Blue’s failure to perform its obligations under this Agreement.
True Blue will not be required to return any payments, installment payments, or fees paid by Client due to a force majeure event. The Client will be notified in writing as soon as possible. The notice will include details of the event and how long it is expected to affect the Parties involved.
Cancellation
If the Client terminates this Agreement or cancels the Event for any reason, or no reason, the Client forfeits the payments, and fees paid by Client to True Blue and the Client shall reimburse True Blue for all outstanding out of-pocket expenses incurred by True Blue through the date of termination.
True Blue reserves the right to cancel this Agreement by notice via email to Client on or before thirty (30) days prior to the Event Date in the event True Blue determines that the expectations of Client may not be reasonably achieved in accordance with this Agreement.

Because of the perishable nature of most products, resolving any complaints quickly and to our mutual satisfaction will require The Client to reach out to us within 1 hour of receiving your delivery or pickup.
The Client will be taking responsibility for the items with signature upon pickup or delivery by Point of Contact as is.
Any damage or negligence to the products in transport or after delivery is the responsibility of The Client.
Pictures will be taken by True Blue Floral and best practices of Care will be given and need to be followed to ensure quality and sustainability or products.
Disclaimer
We reserve the right to supplement and/or amend the Terms and Conditions of True Blue Floral and/or delivery service from time to time. We will post any changes on the True Blue Floral website. It is The Clients responsibility to as a customer to review the Terms and Conditions on each occasion that you contract True Blue Floral. Once under contract, any changes will be emailed to The Client for notification immediately. Changes will be effective immediately after the posting, and any such change and all subsequent dealings between The Client and True Blue Floral will be subject to the new terms and conditions.
Additionally, we reserve the right to suspend, restrict or terminate the True Blue website at any time.
Warranty
True Blue represents and warrants that it has the required skills and experience to perform the Services and that the Services will be performed in a professional and workmanlike manner with reasonable skill and care.
True Blue shall comply with all statutes, ordinances, regulations and laws of all international, federal, state, county, municipal or local governments applicable to performing the Services hereunder.
Limitation on Damages
In no event shall True Blue’s liability under this Agreement, or any claim arising under this Agreement or the performance thereof, or any claim for punitive, incidental or consequential damages, exceed the total amount paid by Client to True Blue pursuant to this Agreement.
In no event shall Client’s liability under this Agreement, as to a monetary default by Client, exceed the total amount of the Fee.
Nothing contained in this paragraph shall serve to limit Client’s obligations as provided Harmless and Indemnification.
Attorneys Fees
If any legal action is commenced related to, or arising out of, this Agreement, the prevailing party in such action shall recover all costs of defending or prosecuting the action, including, without limitation, all court or arbitration costs or mediation costs and reasonable expert fees and attorneys' fees.
Harmless and Indemnification
Client acknowledges that in the event the floral and décor items included in the Event Services are handled by Client or other third parties in a manner inconsistent with that contemplated herein, certain unforeseeable risk or loss may result.
Client agrees to assume such risk and hereby agrees to release, hold harmless, and indemnify True Blue, its assigns, successors, members, managers, employees, principals, and agents, from any and all claims, suits, or actions for loss, liability or damages arising out of or relating to:
damage or destruction of real or personal property
personal injury or death
emotional distress
any other liability or claim which may otherwise arise from the Event Services which are not a direct result of True Blue’s gross negligence, willful, wanton, or intentional misconduct.
Client understands that the waiver and indemnification warranted herein includes any claims based on negligence or inaction on the part of True Blue.
Miscellaneous
By clicking on the “Check out” button at the end of the order process and payment, you are consenting to be bound by our Terms and Conditions.
This Agreement represents the Parties’ entire agreement on the subject matter contained herein and supersedes all previous negotiations or agreements. This Agreement shall be binding upon and insure to the benefit of the respective successors and assigns of the Parties and shall be construed under the laws of Florida. Any notice from either party to the other pursuant to this Agreement shall be in writing and delivered via email notification to info@bluegrasschic.com
Governing Law and Venue
This Agreement will be governed by and interpreted in accordance with the laws of Florida, without giving effect to the principles of conflicts of law of such state.
The UN Convention on Contracts for the International Sale of Goods shall not apply to this Agreement.
The Parties hereby agree that any action arising out of this Agreement or the Services will be brought solely under the relevant courts located in any state or federal court located in Orange County, Florida. Both parties hereby submit to the jurisdiction and venue of any such court.
THE PARTIES FURTHER AGREE, TO THE EXTENT PERMITTED BY APPLICABLE LAW, TO WAIVE ANY RIGHT TO TRIAL BY JURY WITH RESPECT TO ANY CLAIM, COUNTERCLAIM OR ACTION ARISING FROM THE TERMS OF THIS AGREEMENT.
